Upniva – Terms of Use

1. Introduction

This document ("Terms of Use" or "TOU") is an electronic record under applicable Information Technology laws and related regulations. It is generated electronically and does not require physical or digital authentication.

By accessing or using the Upniva CRM system, available at https://partners.upniva.com or through any associated mobile or web application (“Website”, “Platform”, or “Application”), you agree to be bound by these Terms of Use.

These terms apply to all features and modules within the Upniva platform, including but not limited to:

  • CRM and customer management

  • Email/mailing systems

  • API integrations

  • Workflow automation

  • Lead and product management

  • Team & call management

  • Account and billing management

  • Data segregation & analytics

  • WhatsApp marketing

  • Calculators and financial tools

  • Help center and support services

  • Settings for lead assignment, role management, and grab management

If you do not agree with these Terms, you must discontinue using the Platform.

2. Definitions

“User”, “Client”, or “You”

Any individual, organization, or entity accessing or using the Upniva Platform.

“Company”, “We”, or “Us”

Refers to Upniva, including its owners, affiliates, and subsidiary entities.

“Platform”, “Site”, or “Website”

Refers to https://partners.upniva.com and any associated websites, portals, or mobile applications operated by the Company.

“Content” or “Material”

Includes all text, images, graphics, software, code, audio, video, data, and documentation available on the Platform.

“Services” or “Products”

Refers to the CRM modules, digital tools, integrations, and other functionalities offered through Upniva.

3. Description of Services

Upniva is a fully integrated CRM and workflow automation system designed for fintech and business operations. The platform provides tools for:

  • Customer relationship management

  • Email automation and communication tracking

  • Lead management, product management, and sales pipelines

  • Team collaboration and call/interaction management

  • Account operations including billing, payments, and wallet functions

  • Data segregation, filtering, and analytics

  • Marketing tools including WhatsApp messaging

  • Financial tools such as investment and EMI calculators

  • Help center materials, training resources, and marketing support

By using Upniva, you consent to the automated handling of workflow processes, centralized storage of operational data, management of communication logs, and integration of mailing and marketing systems.

4. User Obligations & Company Rights

User Responsibilities

You agree to:

  • Provide accurate, complete, and up-to-date information in the Platform

  • Use the Platform only for lawful purposes

  • Maintain the confidentiality of your account credentials

  • Comply with all applicable laws and Upniva policies

Prohibited Activities

You must NOT:

  • Attempt to reverse engineer, decompile, or disassemble the Platform

  • Use bots, scrapers, or automated tools to access or interfere with the Platform

  • Copy, distribute, or resell any part of the Platform without written authorization

  • Upload viruses, harmful code, or disrupt the Platform’s functionality

Company Rights

Upniva reserves the right to:

  • Suspend or terminate accounts for policy violations

  • Monitor user activity to ensure compliance

  • Share necessary information with third-party service providers or authorities when legally required

  • Modify, update, or discontinue any part of the Platform

All content and technology used in Upniva are the exclusive intellectual property of the Company.

5. Liability & Indemnification

Limitation of Liability

Upniva does not guarantee uninterrupted access, error-free performance, or absolute data accuracy.
The Company shall not be liable for:

  • Loss of data

  • Financial losses

  • Downtime or service interruptions

  • Indirect, incidental, or consequential damages

Indemnification

You agree to indemnify and hold the Company harmless from any claims, damages, liabilities, and expenses arising from:

  • Your use of the Platform

  • Violation of these Terms

  • Misuse of the Services

  • Breach of applicable laws

6. Governing Law & Jurisdiction

These Terms of Use are governed by the laws of India.
Any disputes shall be resolved through arbitration in Delhi, in accordance with the Arbitration and Conciliation Act, 1996.

The arbitration proceedings shall be conducted in English.

7. Amendments & Miscellaneous

  • Upniva may modify or update these Terms at any time.

  • Significant changes will be communicated through the Platform or email.

  • Continued use of the Platform after modifications constitutes acceptance of the new Terms.

  • If any provision of these Terms is deemed invalid, the remaining sections shall continue in full effect.
